Welcome to TARGAR

These Terms of Service (“Terms”) govern your access to and use of the TARGAR FINANCE platform, mobile application, website, payment services, and other products and services provided by TARGAR SOFTWARES AND TECHNOLOGIES LIMITED, trading as TARGAR FINANCE (“TARGAR”, “we”, “our”, or “us”).

By creating an account, accessing, or using any TARGAR Service, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services.

If you do not agree with these Terms, you should not create an account or use the TARGAR Services.

1. ABOUT TARGAR

TARGAR SOFTWARES AND TECHNOLOGIES LIMITED is a company incorporated in Nigeria and operates its financial technology platform under the trading name TARGAR FINANCE.

TARGAR provides technology-enabled payment and financial technology solutions designed to make sending, receiving, and managing payments easier for individuals and businesses.

Depending on the Services available to you, TARGAR may work with licensed banks, payment service providers, financial institutions, technology companies, identity verification providers, and other third-party partners.

Certain financial services may therefore be provided, processed, settled, or supported by a third-party licensed institution or service provider.

Where applicable, additional terms may apply to specific Services.

2. DEFINITIONS

For the purposes of these Terms:

  • “Account” means your registered TARGAR account.
  • “App” means the TARGAR mobile application and any updated or replacement version.
  • “Business” or “Merchant” means an individual, business, organisation, or other entity using TARGAR for commercial or business purposes.
  • “Customer” or “User” means any individual or entity that accesses or uses the Services.
  • “Payment” means a transaction initiated, received, facilitated, or processed through the TARGAR platform.
  • “Services” means the products, payment services, features, technology, and other services made available by TARGAR through the App, website, or other approved channels.
  • “Third-Party Provider” means a bank, financial institution, payment processor, technology provider, verification provider, or other third party that supports or provides part of a Service.
  • “Transaction” means any payment, transfer, collection, settlement, or other financial activity initiated through the Services.

3. ELIGIBILITY

To use TARGAR, you must:

  1. Be at least 18 years old or otherwise legally capable of entering into a binding agreement under applicable law;
  2. Provide accurate and complete information during registration;
  3. Have the legal capacity and authority to use the Services;
  4. Where registering on behalf of a business, have authority to act on behalf of that business;
  5. Comply with applicable Nigerian laws and regulations; and
  6. Comply with these Terms and any additional terms applicable to the Services you use.

TARGAR may refuse an application or restrict access where permitted by law.

4. ACCOUNT REGISTRATION

To use certain TARGAR Services, you may be required to create an Account.

You agree to provide accurate, complete, and current information during registration and to update that information when necessary.

You are responsible for:

  • Maintaining the confidentiality of your login information;
  • Protecting your password, PIN, OTP, authentication credentials, and device;
  • Ensuring that information associated with your Account remains accurate;
  • Monitoring activity on your Account; and
  • Immediately notifying TARGAR of suspected unauthorised access or transactions.

You must not:

  • Share your password, PIN, or OTP with another person;
  • Allow another person to operate your Account without authorisation;
  • Create an Account using false or misleading information;
  • Create multiple Accounts for fraudulent or abusive purposes; or
  • Use another person's Account.

You are responsible for activity carried out through your Account unless you have promptly reported unauthorised access to TARGAR or applicable law provides otherwise.

5. IDENTITY VERIFICATION AND KYC

TARGAR may be required to verify your identity before allowing you to access certain Services.

Depending on the Service, we may request information including:

  • Full name;
  • Phone number;
  • Email address;
  • Date of birth;
  • BVN;
  • Government-issued identification;
  • Business registration information;
  • Business address;
  • Information concerning beneficial owners or authorised representatives; and
  • Other information required for verification or regulatory compliance.

You authorise TARGAR and relevant service providers to verify information you provide where reasonably necessary for:

  • Identity verification;
  • Know Your Customer (“KYC”) requirements;
  • Anti-Money Laundering (“AML”) compliance;
  • Fraud prevention;
  • Security;
  • Regulatory compliance; and
  • Provision of the Services.

If you fail to provide information required for verification, TARGAR may be unable to provide certain Services to you.

6. USING TARGAR'S PAYMENT SERVICES

TARGAR may allow users to initiate or receive payments through available payment methods and integrations.

Depending on the Service, you may be able to:

  • Request payments;
  • Receive payments;
  • Make payments;
  • View transaction information;
  • Generate or use payment-related identifiers;
  • Access merchant payment features; and
  • Use other payment features made available through TARGAR.

Specific payment functionality may differ depending on your Account, location, eligibility, regulatory requirements, and the third-party providers supporting the Service.

7. PAYMENT AUTHORISATION

When you initiate a Transaction through TARGAR, you are responsible for ensuring that:

  • The transaction details are correct;
  • The recipient information is correct;
  • The amount is correct;
  • You have sufficient funds or an available payment method;
  • You have authority to initiate the transaction; and
  • The transaction is intended and authorised by you.

Where a Transaction has been authorised and successfully processed, it may not be possible to reverse it automatically.

You should carefully review transaction details before confirming a Payment.

8. TRANSACTION PROCESSING AND SETTLEMENT

Transactions may be processed through TARGAR and/or Third-Party Providers.

TARGAR does not guarantee that every Transaction will be completed instantly.

Transactions may be delayed, declined, reversed, suspended, or otherwise affected by:

  • Network failures;
  • Banking system downtime;
  • Payment processor issues;
  • Incorrect information;
  • Security checks;
  • Fraud monitoring;
  • Regulatory requirements;
  • Insufficient funds;
  • Technical problems;
  • Force majeure events; or
  • Other circumstances outside TARGAR's reasonable control.

Where a Transaction is delayed or fails, TARGAR will take reasonable steps to investigate and resolve the issue in accordance with applicable procedures and applicable law.

9. FAILED, REVERSED, OR DUPLICATE TRANSACTIONS

A Transaction may fail, be reversed, or be placed on hold where:

  • The receiving institution rejects it;
  • The payment processor is unavailable;
  • A security or fraud check is triggered;
  • The Transaction violates applicable law or these Terms;
  • Incorrect payment information is provided;
  • A technical error occurs; or
  • Another legitimate reason prevents completion.

If you believe you have been incorrectly charged, charged more than once, or have not received funds relating to a completed Transaction, you should contact TARGAR promptly through:

We may request transaction references, screenshots, receipts, or other information necessary to investigate the issue.

10. FEES AND CHARGES

TARGAR may charge fees for certain Services.

Where applicable, fees will be communicated through the App, website, applicable Service terms, transaction interface, or other appropriate communication.

You agree to pay applicable fees associated with the Services you use.

Fees may include, where applicable:

  • Transaction fees;
  • Service fees;
  • Processing fees;
  • Business or merchant fees;
  • Third-party charges; and
  • Other applicable charges.

TARGAR may change its fees from time to time, subject to applicable law and any required notice.

Where a fee is applicable to a Transaction, the relevant fee should be displayed or otherwise communicated before or during the applicable transaction process where reasonably practicable.

11. MERCHANTS AND BUSINESSES

Businesses and merchants using TARGAR agree to:

  • Provide accurate business information;
  • Complete required verification;
  • Use the Services only for legitimate business activities;
  • Maintain accurate transaction records;
  • Comply with applicable laws;
  • Not use TARGAR to facilitate fraudulent or unlawful activities;
  • Protect customer information;
  • Obtain any consent or authority required to provide customer information to TARGAR;
  • Notify TARGAR of suspected fraudulent activity; and
  • Cooperate with reasonable compliance or security investigations.

Merchants are responsible for the goods or services they sell to customers.

Unless expressly stated otherwise, TARGAR is not the seller, supplier, manufacturer, or provider of goods or services purchased from a merchant.

12. CUSTOMER PURCHASES FROM MERCHANTS

Where TARGAR facilitates a payment for goods or services provided by a merchant, any dispute concerning the quality, delivery, availability, legality, description, or performance of those goods or services should generally be directed to the merchant.

TARGAR may assist with transaction-related investigations where appropriate.

However, a successful payment does not necessarily mean that TARGAR guarantees the quality, legality, availability, or delivery of the merchant's goods or services.

13. PROHIBITED USE

You must not use TARGAR to:

  1. Commit or facilitate fraud;
  2. Conduct money laundering or terrorist financing;
  3. Process proceeds of crime;
  4. Conduct unauthorised transactions;
  5. Impersonate another person or entity;
  6. Provide false, misleading, or fraudulent information;
  7. Circumvent security controls;
  8. Attempt to gain unauthorised access to TARGAR systems;
  9. Introduce malware, viruses, or other harmful code;
  10. Interfere with the operation of the App or Services;
  11. Use the Services for unlawful activities;
  12. Use another person's identity or Account without authorisation;
  13. Exploit the Services for abusive, deceptive, or fraudulent purposes;
  14. Use the Services in a manner that violates applicable laws or regulations; or
  15. Engage in any activity that may expose TARGAR, its users, partners, or service providers to unlawful or unreasonable risk.

TARGAR may investigate suspected violations and take appropriate action.

14. FRAUD AND SECURITY

We may monitor transactions and Account activity for security, fraud prevention, compliance, and risk management purposes.

TARGAR may temporarily restrict or suspend a Transaction or Account where we reasonably believe that:

  • Fraud may have occurred;
  • An Account has been compromised;
  • A Transaction may be unauthorised;
  • The activity presents a security risk;
  • The activity may violate applicable law;
  • Additional verification is required; or
  • The activity may violate these Terms.

Where permitted by law, we may request additional information or documentation before restoring access.

15. ACCOUNT SUSPENSION AND TERMINATION

TARGAR may suspend, restrict, or terminate your Account or access to some or all Services where:

  • You breach these Terms;
  • You provide false or misleading information;
  • You fail required verification;
  • We reasonably suspect fraud or unlawful activity;
  • Your Account presents a security or compliance risk;
  • We are required to do so by law or a regulatory authority;
  • A Third-Party Provider requires us to take such action;
  • You misuse the Services;
  • Your Account remains inactive for an extended period where permitted by applicable law; or
  • We discontinue the relevant Service.

Where reasonably practicable and legally permitted, we may notify you before taking such action.

Termination or suspension does not automatically release you from obligations that arose before termination.

16. CLOSING YOUR ACCOUNT

You may request closure of your TARGAR Account by contacting us through our official support channel or using an available account closure feature.

Before an Account can be closed, you may be required to:

  • Complete or resolve outstanding Transactions;
  • Resolve outstanding obligations;
  • Provide information required for compliance purposes; and
  • Complete applicable security or verification procedures.

Closing your Account does not necessarily result in immediate deletion of all information associated with it.

TARGAR may retain certain information where required or permitted by applicable law, regulatory obligations, fraud prevention requirements, dispute resolution, audit requirements, or legitimate business purposes.

Our Privacy Policy explains how we handle personal data after account closure.

17. REFUNDS

Refunds may be available in certain circumstances depending on the nature of the Transaction and the applicable Service.

Where a payment was made for goods or services supplied by a merchant, refund requests may generally need to be directed to that merchant unless the applicable Service provides otherwise.

TARGAR may investigate disputed Transactions and may cooperate with relevant financial institutions, payment processors, or merchants in resolving disputes.

Nothing in these Terms removes any consumer rights that cannot lawfully be excluded.

18. DISPUTES AND TRANSACTION COMPLAINTS

If you believe a Transaction is incorrect, unauthorised, duplicated, incomplete, or otherwise problematic, you should contact us as soon as reasonably possible.

Complaints should include, where available:

  • Your name;
  • Registered phone number or email;
  • Transaction reference;
  • Transaction date;
  • Amount involved;
  • Description of the issue; and
  • Supporting documents or evidence.

We will investigate complaints in accordance with our applicable procedures and legal obligations.

19. THIRD-PARTY SERVICES

Some TARGAR Services may depend on or integrate with Third-Party Providers.

These may include:

  • Banks;
  • Payment processors;
  • Financial institutions;
  • Identity verification providers;
  • Technology providers;
  • Cloud service providers;
  • Communication providers; and
  • Other service providers.

Third-Party Providers may have their own terms and privacy policies.

Where a Service is provided by or depends on a Third-Party Provider, additional terms may apply.

TARGAR will take reasonable steps to work with appropriate providers, but we cannot guarantee the uninterrupted availability or performance of third-party systems.

20. TARGAR'S INTELLECTUAL PROPERTY

Unless otherwise stated, TARGAR and its licensors own or control the intellectual property rights relating to:

  • The TARGAR name;
  • TARGAR trademarks;
  • Logos;
  • Application;
  • Website;
  • Software;
  • Designs;
  • Content;
  • Graphics;
  • User interface;
  • Documentation; and
  • Other materials provided by TARGAR.

You are granted a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose.

You must not:

  • Copy or reproduce TARGAR's software without permission;
  • Reverse engineer the Services except where permitted by applicable law;
  • Modify or create derivative works from the App;
  • Sell, rent, sublicense, or commercially exploit the Services without authorisation;
  • Remove proprietary notices; or
  • Use TARGAR's intellectual property in a manner that suggests an unauthorised relationship with TARGAR.

21. USER CONTENT AND FEEDBACK

If you provide feedback, suggestions, ideas, reviews, or other content to TARGAR, you grant us permission to use that feedback for legitimate business purposes, including improving our products and Services.

You remain responsible for ensuring that anything you submit does not violate the rights of another person.

You must not submit content that is unlawful, fraudulent, abusive, defamatory, threatening, or otherwise inappropriate.

22. PRIVACY AND DATA PROTECTION

Your use of TARGAR is also subject to our Privacy Policy.

Our Privacy Policy explains:

  • What personal data we collect;
  • Why we collect it;
  • How we use it;
  • How we share it;
  • How we protect it;
  • Your data protection rights; and
  • How you can contact us about privacy matters.

You can review the Privacy Policy through our website or App.

23. SERVICE AVAILABILITY

We aim to keep TARGAR available and reliable, but we do not guarantee that the Services will always be:

  • Available;
  • Uninterrupted;
  • Error-free;
  • Free from delays; or
  • Compatible with every device or network.

Services may occasionally be unavailable due to:

  • Maintenance;
  • Updates;
  • Network problems;
  • Security incidents;
  • Third-party service interruptions;
  • Power or telecommunications failures;
  • Regulatory requirements;
  • Force majeure events; or
  • Other circumstances beyond our reasonable control.

We will take reasonable steps to restore affected Services where practicable.

24. DISCLAIMERS

To the maximum extent permitted by applicable law, TARGAR provides the Services on an “as available” basis.

We do not guarantee that:

  • Every Transaction will be successful;
  • The Services will always be available;
  • Third-party systems will always operate without interruption;
  • Information displayed through the Services will always be completely free from errors; or
  • The Services will satisfy every individual user's requirements.

Nothing in these Terms excludes or limits a right or protection that cannot legally be excluded or limited under applicable law.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, TARGAR shall not be liable for losses arising from circumstances beyond our reasonable control, including:

  • Third-party system failures;
  • Telecommunications or network failures;
  • Unauthorised access resulting from your failure to protect your credentials;
  • Incorrect information supplied by you;
  • Delays caused by banks or payment processors;
  • Events of force majeure;
  • Unlawful acts of third parties; or
  • Your breach of these Terms.

Nothing in these Terms shall exclude liability that cannot lawfully be excluded under applicable Nigerian law, including liability arising from fraud or other circumstances where exclusion or limitation is prohibited.

Where liability cannot be excluded but may lawfully be limited, TARGAR's liability shall be limited to the extent permitted by applicable law.

26. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless TARGAR SOFTWARES AND TECHNOLOGIES LIMITED, TARGAR FINANCE, its directors, officers, employees, agents, partners, and service providers against claims, losses, liabilities, damages, costs, or expenses arising from:

  • Your breach of these Terms;
  • Your misuse of the Services;
  • Fraudulent or unlawful activity carried out through your Account;
  • Your violation of another person's rights; or
  • Your violation of applicable laws.

This provision does not apply to the extent that the relevant loss resulted from TARGAR's own unlawful conduct or liability that cannot legally be transferred to you.

27. FORCE MAJEURE

TARGAR shall not be responsible for delays or failures caused by circumstances beyond our reasonable control.

These may include:

  • Natural disasters;
  • War;
  • Terrorism;
  • Civil unrest;
  • Government actions;
  • Regulatory restrictions;
  • Epidemics or pandemics;
  • Power failures;
  • Telecommunications failures;
  • Internet disruptions;
  • Cyberattacks;
  • Banking system failures;
  • Payment network failures; or
  • Other events beyond our reasonable control.

Where possible, we will take reasonable steps to minimise the impact of such events.

28. CHANGES TO THE SERVICES

TARGAR may modify, improve, suspend, replace, or discontinue features of the Services from time to time.

We may introduce new products, features, payment methods, integrations, or financial technology services as our business develops.

Where a change materially affects your rights or obligations, we may provide appropriate notice where required by law.

Certain new Services may be subject to additional terms.

29. CHANGES TO THESE TERMS

We may update these Terms from time to time.

Changes may be made to reflect:

  • Changes in our Services;
  • Changes in applicable laws;
  • Regulatory requirements;
  • New technology;
  • Changes in business practices; or
  • Other operational requirements.

Where required, we will provide notice of material changes through the App, website, email, or other appropriate communication channels.

The “Last Updated” date at the beginning of these Terms indicates when they were most recently revised.

Your continued use of the Services after the effective date of updated Terms may constitute acceptance of the revised Terms where permitted by law.

30. NOTICES

We may communicate with you through:

  • The TARGAR App;
  • Email;
  • SMS;
  • Push notifications;
  • WhatsApp;
  • Telephone; or
  • Other contact information associated with your Account.

You are responsible for keeping your contact information up to date.

31. NO WAIVER

If TARGAR does not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce that provision in the future.

32. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions shall continue to apply.

33. ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without TARGAR's prior written consent.

TARGAR may assign or transfer its rights and obligations where reasonably necessary in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganisation, or other legitimate business transaction, subject to applicable law.

34. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the agreement between you and TARGAR concerning your use of the Services.

Where additional terms apply to a particular Service, those terms will supplement these Terms and, where expressly stated, may take precedence over conflicting provisions concerning that specific Service.

35. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Nothing in these Terms prevents either party from exercising any rights or remedies available under applicable Nigerian law.

36. DISPUTE RESOLUTION

We encourage you to contact TARGAR first to attempt to resolve any complaint or dispute informally.

Where a dispute cannot be resolved through our complaints process, the parties may pursue the remedies available under applicable Nigerian law, including any applicable regulatory complaint or dispute-resolution mechanism.

Nothing in this section limits any mandatory consumer or regulatory rights available under applicable law.

38. ACCEPTANCE

By creating a TARGAR Account, accessing the TARGAR App, or using any TARGAR Service, you confirm that:

  • You have read and understood these Terms;
  • You agree to comply with these Terms;
  • You have the legal capacity to enter into these Terms;
  • The information you provide to TARGAR is accurate to the best of your knowledge; and
  • You agree to comply with applicable Nigerian laws and regulations.

If you do not agree to these Terms, you must not access or use the TARGAR Services.
